PETER SHIPPEN

CHAIRMAN

Peter Shippen is an entrepreneur, investor, and capital markets professional with 22 years of experience. Mr. Shippen is the Chief Executive Officer of CSE listed Britannia Life Sciences Inc., and formerly, a senior executive at Purpose Investments, following Purpose’s acquisitions of Redwood Asset Management. Mr. Shippen was President and CEO of Redwood until its amalgamation with Purpose in March 2018. Prior to founding Ark Fund Management in 2007, Mr. Shippen worked in investment research roles at BMO Nesbitt Burns and TD Waterhouse Canada Inc.

Mr. Shippen serves on the Board of Directors of Britannia Life Sciences Inc., and is Chairman of Canadian Gold Corp Resources Inc. He holds a CFA designation, a CAIA designation and earned BA, Economics from Wilfrid Laurier University.

JENNIFER BOYLE

Executive Vice-President

Ms. Boyle is a Director and Founder, and former Executive Chair of Canadian Gold Corp. Jennifer sat as a member of the board of directors of Carlisle Goldfields Limited (TSX:CGJ) before it was acquired by Alamos Gold Inc. in January 2016, and she sat as a member of the board of directors of Nevada Exploration Inc. (TSXV:NGE) (2010 to 2015). Jennifer is a former securities lawyer who has been, for the past 22 years, working at founding or re-organizing early-stage junior resource issuers, and developing various growth strategies for various clients. Formerly, Jennifer was Chief Executive Officer of St. Eugene Mining before the company was bought by Claude Resources Inc. and she was a founding director and Executive Vice President of Canadian Royalties Inc. (1997 to 2006); co-founder and Executive Vice President of Golden Valley Mines Ltd. (2002 to 2005); and co-founder and Chief Executive Officer of Takara Resources Inc. (2006 to 2013). She currently sits as a member of both the national and local advisory committees for the TSX Venture Exchange, and acts as General Counsel at an Institutional Forex and IIROC dealer.

DOUG FLEGG

DIRECTOR

Mr. Flegg is a former Managing Director of Global Mining Sales for BMO Capital Markets, having over 30 years of mining and mining finance experience, supported by a technical background in Geology, augmented with over 20 years of mining-related capital markets experience in portfolio management and global equity sales. Mr. Flegg started his career as an exploration geologist in Canada, and has more recently transitioned into a mining advisory and strategic consulting role, having built strong expertise and a solid network in the mining industry.

WES HANSON

DIRECTOR

Mr. Hanson worked as the Chief Underground Geologist at the Tartan Lake Gold Mine Project when it operated between 1986 and 1989, and brings over 32 years of industry experience, including exploration, mine development, mine operations, project evaluation and financing. Mr. Hanson was President and CEO of Noront Resources (2009 — 2012), VP Mine Development, Western Goldfields / Silver Bear Resources (2006 through 2009), Director Technical Services, Kinross Gold (2002-2006) and Project Geologist, SNC-Lavalin Engineers and Constructors (1999-2002). Mr. Hanson has also served on the Board of Directors for Noront, Cobriza Metals and St. Eugene Mining. Earlier in his career, Mr. Hanson supervised numerous gold exploration projects throughout northern Canada and the US, many of which successfully advanced from exploration projects through mine development and construction into commercial operation. Mr. Hanson graduated from Mount Allison University in 1982 with a Bachelor of Science degree in Geology.

JEFF KILBORN

DIRECTOR

Mr. Kilborn currently holds the position of Chief Financial Officer at a private technology company. Formerly, Jeff held the positions of Business Advisor, High Impact Firms, BDC Advisory Services, and also Chief Financial Officer of Canadian Gold Corp Resources during the period 2011 through to 2016.  Jeff has over twenty years of finance experience, having held progressively senior positions at Canadian subsidiaries of two U.S.-based investment banks as well as well as a mid-market Canadian private equity firm. Mr. Kilborn has broad financial experience, including debt and equity capital raising and mergers and acquisitions advisory. Jeff is a Certified Management Consultant (CMC).

Alex McEwen

DIRECTOR

Mr. McEwen currently holds the position of Chief Operating Officer and Co-Owner of a private industrial power generation company, Remote Power Corp., that is active in the construction, energy, and mining sectors across Canada. Alex has spent his professional career in the natural resource sector – primarily in the oilfield services industry in finance and operational management roles.

Jim Downey

DIRECTOR

Mr. Downey served in the provincial legislature from 1977-1999. During his time in office, he served as Minister of Energy and Mines, Agriculture, Northern and Native Affairs, Rural Development, and Industry, Trade and Tourism. Mr. Downey was a member of the Treasury Board for majority of this time and was appointed Deputy Premier of Manitoba from 1990 to 1999.

Jim retired from elected office in 1999 to pursue work in the private sector. In 2009, he became part owner of Shape Foods Inc., a state-of-the-art flaxseed crushing business in Brandon. He is also a board member of Manitoba Hydro-Electric and former member of St. Boniface Hospital Foundation and the Nature Conservancy of Canada (MB).

Mr. Downey has been honoured for his accomplishments by many organizations. He was named Honourary Air Marshall by Manitoba Air Cadets. He received the Silver Eagle Citizen Award from the Indigenous Women’s Collective of Manitoba Inc. (1996), Citizen of the Year Award from the Winnipeg Chinese Cultural and Community Group (1997), Honourary Life Membership in the Progressive Conservative Party of Manitoba (2000). He has received the Confederation, Golden Jubilee and Diamond Jubilee Medals for contributions to community. In 2005, Jim was appointed Honourary Consul of Mexico at Winnipeg and in 2015, the President of Mexico awarded Mr. Downey the Aztec Eagle Award for his work on behalf of Mexico and Mexicans in Manitoba.
